How and why data is used

Legal bases and consent (India-focused)
Processing is undertaken based on consent, contractual necessity, compliance with legal obligations under the Information Technology Act, 2000 and the 2011 Rules, and legitimate interests proportionate to the purpose stated herein.

Services and deliverables
- Marketing: planning, execution, and reporting for BTL and digital campaigns as per agreed SOWs.
- HR staffing: sourcing, screening, deployment of gig workers and recruitment of full-time employees as per defined role descriptions and client requirements.
- Consulting: strategic, operational, and marketing advisory rendered on an hourly, retainer, or project basis.
Client obligations
Clients shall provide accurate briefs, timely feedback, required access, lawful instructions, and ensure facilities and safety for deployed personnel where applicable.
Fees, taxes, and invoicing
All fees are as specified in quotations, SOWs, or invoices and are exclusive of taxes; GST is charged as applicable under Indian law and must be remitted per the invoice.
Invoices are payable within the agreed payment terms; late payments may attract interest or suspension of Services as permitted by contract and law.
Staffing-specific terms
- Engagement model: gig workers remain engaged per assignment terms; full-time placements may be on client payroll or Company-managed payroll per agreement.
- Background checks: may be conducted as permitted by law and role sensitivity with candidate consent.
- Replacement policy: where offered, is subject to conditions in the SOW such as role scope stability and timely payment.
- Non-circumvention: direct hiring or engagement of presented candidates outside agreed terms may trigger fees as specified.
Intellectual property
Unless otherwise agreed, pre-existing IP remains with the original owner; project deliverables are licensed or assigned per SOW upon full payment.
Confidentiality
Each party shall protect confidential information received in connection with the Services and use it solely for the stated purposes, subject to customary exceptions.
Warranties and disclaimers
Services are provided with reasonable skill and care; no guarantee of specific business outcomes (e.g., sales, rankings, placements) is made unless expressly stated in writing.
Limitation of liability
To the maximum extent permitted by law, indirect, incidental, special, consequential, or punitive damages are disclaimed, and aggregate liability is limited to fees paid for the impacted Services within a defined look-back period.
Indemnity
Parties shall indemnify each other for losses arising from breaches of law, IP infringement, or willful misconduct attributable to the indemnifying party, as set out in the agreement.
Termination
Either party may terminate for convenience or cause as per SOW terms; accrued obligations, confidentiality, IP, and payment provisions survive termination.
Governing law and jurisdiction
These Terms are governed by Indian law, and courts of Gurugram, Haryana shall have exclusive jurisdiction, unless otherwise agreed in writing.
Refund and cancellation
Given the nature of professional services, fees for time-and-materials or completed milestones are non-refundable, with any exceptions expressly stated in the SOW.
Prepaid retainers may be refundable pro-rata only for unrendered services where explicitly agreed, net of reasonable costs incurred.
Communications and marketing
Transactional messages and essential notices may be sent to fulfill Services; marketing communications are sent based on consent or legitimate interest with clear opt-out mechanisms.
Third-party links and services
The Site may link to third-party websites or use third-party tools; those are governed by their own policies and terms, and Startupro is not responsible for their practices.
Changes to this page
This page may be updated to reflect changes in practices, laws, or Services, and the updated effective date will be posted; continued use after changes indicates acceptance.
